VISPĀRĪGIE NOTEIKUMI (VNN) PAR INTERNETA VEIKALA IZMANTOŠANU VIETNĒS, WWW.WESTWING.EE, WWW.WESTWING.LV, WWW.WESTWING.LT UN UZŅĒMUMIEM

Zemāk ir izklāstīti mūsu Vispārīgie noteikumi un nosacījumi (turpmāk „VNN”), kas ir pamats Westwing interneta veikala izmantošanai uzņēmumiem tīmekļa vietnēs www.westwing.ee , www.westwing.lv un www.westwing.lt. Veicot pasūtījumu, jūs apstiprināt šādus Westwing GmbH, Moosacher Str. 88, 80809 Minhenes (turpmāk „Westwing”) vispārējos noteikumus un nosacījumus.

Šie VNS attiecas uz uzņēmējiem, kas reģistrēti Igaunijā, Latvijā un Lietuvā un izmanto piedāvājumus mūsu tīmekļa vietnē. Uzņēmējs šo VNS izpratnē ir fiziska persona, juridiska persona vai personu apvienība ar tiesībspēju, kas, noslēdzot tiesisku darījumu, rīkojas, veicot komercdarbību vai neatkarīgu profesionālo darbību.

1. VISPĀRĪGA INFORMĀCIJA UN PIEMĒROŠANAS JOMA

1.1 Westwing vada tiešsaistes veikalu tīmekļa vietnēs www.weswting.ee, www.westwing.lv un www.westwing.lt.

1.2 Lai izmantotu tiešsaistes veikalā pieejamos piedāvājumus, jums ir jārīkojas kā uzņēmējam, t. i., kā fiziskai vai juridiskai personai vai personu apvienībai ar tiesībspēju, veicot komercdarbību vai neatkarīgu profesionālo darbību, noslēdzot tiesisku darījumu.

1.3 Šie Vispārīgie noteikumi attiecas uz visiem līgumiem, kas noslēgti ar jums kā uzņēmēju tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt saskaņā ar 1.2. punktu, ja vien nav piemērojami Vispārīgie noteikumi patērētājiem. Westwing nepieņem citus Vispārīgos noteikumus, ja vien nav skaidri rakstiski vienojies citādi.

1.4 Atsevišķos gadījumos ar jums noslēgtās individuālās vienošanās (ieskaitot papildu vienošanās, papildinājumus un grozījumus) ir pārākas par šiem Vispārīgajiem noteikumiem. Ja nav pierādīts pretējais, šādu vienošanos saturu nosaka rakstisks līgums vai rakstisks apstiprinājums (pietiek ar elektronisku formu saskaņā ar Vācijas Civillikuma (BGB) 127. pantu) no Westwing puses.

1.5 Westwing darbinieki parasti nav pilnvaroti slēgt mutiskus papildu līgumus vai sniegt mutiskas garantijas vai paziņojumus, kas pārsniedz rakstiskā līguma saturu.

1.6 Ja kā termiņi ir norādītas (darba) dienas, tas nozīmē visas nedēļas dienas, izņemot sestdienas, svētdienas un valsts svētku dienas Vācijā.

2. TĪMEKĻA VIETŅU WWW.WESTWING.EE, WWW.WESTWING.LV UN WWW.WESTWING.LT IZMANTOŠANA

2.1 Pasūtot preces, jums tiks lūgts norādīt personas datus un piekrist uzņēmuma konta reģistrēšanai, un šie dati tiks vākti un apstrādāti saskaņā ar Westwing privātuma politiku. Tiek piemērots 15. punkts.

2.2 Jūs esat atbildīgs par to, lai dati būtu pilnīgi un patiesi. Jums ir arī pienākums uzturēt savus datus atjauninātu. Ja, izmantojot tīmekļa vietni, notiek izmaiņas sniegtajos datos, jums nekavējoties jālabo informācija. Jums ir pienākums konfidenciāli izturēties pret savām parolēm un jebkuriem citiem piekļuves datiem un aizsargāt tos no neatļautas trešo personu piekļuves.

2.3 Jūs esat vienīgais atbildīgais par saturu (piemēram, produktu atsauksmes), ko publicējat šim nolūkam paredzētajās vietās. Jūs garantējat, ka jūsu paša saturs neaizskar vai neievaino trešo personu tiesības (piemēram, personiskās tiesības vai autortiesības). Šajā sakarā jums pēc pirmā pieprasījuma ir pilnībā jāatbrīvo Westwing no trešo personu prasībām. Iesniedzot saturu Westwing, jūs piešķirat Westwing un visiem ar Westwing saistītajiem Westwing grupas uzņēmumiem (turpmāk „Westwing grupa”) visas vienkāršās lietošanas tiesības, kas nav ierobežotas laikā, telpā un saturā, kā arī tiesības nodot tās trešajām personām, kas Westwing nepieciešamas satura publicēšanai un izplatīšanai, pat daļēji, Westwing grupas tīmekļa vietnēs.

2.4 Savā korporatīvā klienta kontā jūs varat apskatīt savus atvērtos, nesen nosūtītos un/vai pabeigtos pasūtījumus un, ja nepieciešams, tos mainīt, kā arī diferencēti pārvaldīt un saglabāt savus datus, kuponus, jaunumus un paziņojumus.

2.5 Jums ir atļauts reģistrēt un vienlaikus izmantot tikai vienu korporatīvā klienta kontu tīmekļa vietnēs www.weswting.ee, www.westwing.lv vai www.westwing.lt. Ja Westwing konstatē vairākas reģistrācijas, Westwing var tās dzēst.

2.6 Jums ir aizliegts izmantot tīmekļa vietnes www.westwing.ee, www.westwing.lv vai www.westwing.lt vai to saturu jebkādiem mērķiem, kas ir nelikumīgi, nepiemēroti vai aizliegti ar šiem Vispārīgajiem noteikumiem. Jo īpaši nedrīkst traucēt vai manipulēt ar tehniskajiem procesiem. Gadījumā, ja tiek novērota rīcība vai mēģinājumi gūt neatļautas priekšrocības, kaitējot Westwing vai citiem klientiem, Westwing patur tiesības bloķēt uzņēmuma klienta kontu un nepieņemt piedāvājumus.

2.7 Westwing patur tiesības pēc saviem ieskatiem izmantot savas virtuālās mītnes tiesības un, piemēram, izteikt brīdinājumus, atteikt pasūtījumus, ierobežot pieejamos maksājumu veidus, apturēt vai pārtraukt jūsu piekļuvi tīmekļa vietnēm , www.westwing.ee,, www.westwing.lv vai www.westwing.lt vai dzēst jūsu iesniegto saturu, ja tiek pārkāpti šo Vispārīgo noteikumu nosacījumi vai notiek ļaunprātīga rīcība. Tas neietekmē Westwing prasības par zaudējumu atlīdzību.

3. LĪGUMSLĒDZĒJS, VALODA UN LĪGUMA NOSLĒGŠANA

3.1 Līgumslēdzējs partneris līgumu noslēgšanai tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt ir Westwing.

3.2 Tīmekļa vietnes www.westwing.ee, www.westwing.lv un www.westwing.lt darbojas angļu un lietuviešu valodā (Lietuvā). Līgumi caur tīmekļa vietni tiek noslēgti angļu valodā .

3.3 Preču piedāvājums tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt nav saistošs līguma piedāvājums Vācijas Civillikuma (BGB) § 145 izpratnē, bet ir maināms un nesaistošs kā uzaicinājums iesniegt piedāvājumu (tā saucamais „invitatio ad offerendum”). Kad izvēlētās preces un pakalpojumi ir ievietoti (virtuālajā) iepirkumu grozā un elektroniskā pasūtīšanas procedūra ir pabeigta, jūs iesniedzat juridiski saistošu līguma piedāvājumu, noklikšķinot uz pogas „Pirkt tagad”, lai pasūtītu preces un pakalpojumus, kas tajā brīdī atrodas (virtuālajā) iepirkumu grozā. Pēc piedāvājuma iesniegšanas jūs saņemsiet e-pastu no Westwing, kas apstiprina jūsu piedāvājuma saņemšanu. Šis e-pasts no Westwing nav līguma pieņemšana. Westwing pēc saviem ieskatiem var nepieņemt piedāvājumus. Ja Westwing neizpilda pasūtījumu, Westwing nekavējoties informēs Jūs par to, rakstot uz . Līgums tiek pieņemts, nosūtot atsevišķu e-pastu ar apstiprinājumu par preču nosūtīšanu vai pakalpojuma sniegšanu, bet ne vēlāk kā brīdī, kad preces tiek nosūtītas.

3.4 Westwing saglabā pasūtījuma datus un nosūta tos jums pa e-pastu pēc pasūtījuma pabeigšanas. Jūs varat arī jebkurā brīdī apskatīt Vispārīgos noteikumus un nosacījumus (GTC) vietnē https://www.westwing.ee/i/terms_and_conditions_b2b/, https://www.westwing.lv/i/terms_and_conditions_b2b/ vai https://www.westwing.lt/i/terms_and_conditions_b2b/. Ja pirms pasūtījuma nosūtīšanas esat izveidojis klienta kontu, pasūtījuma datus varat apskatīt pieteikšanās zonā. Tas attiecas arī uz iepriekšējiem pasūtījumiem saskaņā ar likumā noteiktajām glabāšanas saistībām.

3.5 Pasūtījuma apstrāde un saziņa parasti notiek, izmantojot automatizētu pasūtījuma apstrādi vai e-pastu. Jums ir jānodrošina, ka e-pasta adrese, ko norādāt pasūtījuma apstrādei, ir pareiza, lai šajā adresē varētu saņemt Westwing nosūtītos e-pastus. Jo īpaši, ja izmantojat SPAM filtrus, jums ir jānodrošina, ka visi e-pasti, ko nosūta Westwing vai trešās personas, kuras Westwing ir pilnvarojis apstrādāt jūsu pasūtījumu, var tikt piegādāti.

3.6 Nav likumā noteiktas atteikuma tiesības attiecībā uz visiem līgumiem, kas noslēgti ar jums kā uzņēmēju Vācijas Civillikuma (BGB) 14. panta izpratnē, t. i., veicot komercdarbību vai pašnodarbināto profesionālo darbību (B2B darījumi). Likumiskie noteikumi par atteikuma tiesībām un ar tām saistīto iespēju atgriezt preces attiecas tikai uz patērētājiem Vācijas Civillikuma (BGB) 13. panta izpratnē. Tas neietekmē jūsu garantijas prasības gadījumā, ja piegādātajām precēm ir defekti.

4. CENAS UN PIEGĀDES IZMAKSAS

4.1 Preču pasūtījumiem tīmekļa vietnēs www.westwing.ee, www.westwing.lv un www.westwing.lt tiek piemērotas cenas, kas norādītas attiecīgajā preces apraksta lapā pasūtījuma veikšanas brīdī. Cenas ir kopējās cenas, kurās iekļauts likumā noteiktais PVN un iepakojums. Tām pieskaitās piegādes izmaksas un, ja nepieciešams, izmaksas par papildus pasūtāmo montāžas pakalpojumu, ja tas ir pieejams.

4.2 Preču cenas jūsu virtuālajā iepirkumu grozā vienmēr atbilst aktuālajai cenai preces apraksta lapā. Tas nozīmē, ka pašreizējā preces cena var atšķirties no tās cenas, par kādu jūs pievienojāt preci savam virtuālajam iepirkumu grozam. Pievienojot preci savam virtuālajam iepirkumu grozam, jūs neiegūstat tiesības uz tajā brīdī parādīto cenu. Produkta cena var paaugstināties vai pazemināties laikā starp brīdi, kad jūs to pievienojat savam virtuālajam iepirkumu grozam, un brīdi, kad jūs to faktiski iegādājaties.

4.3 Piegādes izmaksas tiek aprēķinātas atsevišķi katram pasūtījumam un ir atkarīgas no cenas, kas norādīta produkta informācijas lapā. Tās ir atkarīgas, cita starpā, no izmēra, svara un attiecīgā piegādes veida. Piegādes veidu nosaka Westwing pēc saviem ieskatiem.

4.4 Ja piegādi veic Westwing, cenas ir DDP Incoterms® 2020, ieskaitot standarta iepakojumu, ja vien nav panākta cita vienošanās.

4.5 Westwing var piešķirt jums atlaides un kuponus, kas pārsniedz www.westwing.ee, www.westwing.lv vai www.westwing.lt tīmekļa vietnēs norādītos atvieglojumus, saskaņā ar individuālām vienošanām atbilstoši 1.4. punktam. Šajā gadījumā vienam pasūtījumam var izmantot tikai vienu alternatīvu atlaidi vai kuponu. Tiek piemērota klienta izvēlētā un iepirkumu grozā saglabātā atlaide vai kupons.

4.6 Izmantojot savu korporatīvo klientu kontu, jums ir iespēja saņemt rēķinus, kuros ir norādīts PVN, un pasūtījuma veikšanas brīdī tieši ņemt vērā biznesa klientu atlaidi. Parasti korporatīvo klientu kontiem netiek veiktas manuālas rēķinu korekcijas.

4.7 Westwing ir tiesīgs vispirms ieskaitīt maksājumus pret vecākiem parādiem un informēs Jūs par veiktā ieskaita veidu.

4.8 Maksājums tiek uzskatīts par veiktu tikai tad, kad Westwing var rīkoties ar šo summu.

4.9 Ja Westwing kļūst zināmi apstākļi, kas liek apšaubīt jūsu kredītspēju, ja jūs nemaksājat nokavētos rēķinus vai ja tiek iesniegts pieteikums par maksātnespējas procedūras uzsākšanu, tā tiek uzsākta vai noraidīta aktīvu trūkuma dēļ, Westwing ir tiesīgs pasludināt par nokavētu visu atlikušo parādu. Šādā gadījumā Westwing ir tiesīgs pieprasīt arī avansa maksājumus vai nodrošinājuma sniegšanu.

5. WESTWING DIZAINA PAKALPOJUMI

5.1 Ar Westwing dizaina pakalpojumiem Westwing piedāvā individuālas interjera dizaina konsultācijas tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt (turpmāk tekstā — „Westwing dizaina pakalpojums(-i)” vai „Pakalpojums”). Šie Vispārīgie noteikumi attiecas uz šiem pakalpojumiem, ja vien turpmāk nav norādīts citādi.

5.2 Pakalpojumi tiek sniegti tiešsaistē, izmantojot videočatu vai videokonferenci ar ekrāna koplietošanu, kādā no Westwing fiziskajām veikaliem (Veikali | Westwing) vai, ja runa ir par Westwing Design Services Deluxe, daļēji arī uz vietas. Konkrētos Westwing Design Services pakalpojumus, kas tiek piedāvāti jūsu valstī, varat atrast tīmekļa vietnē.

5.3 Pakalpojumus sniedz Westwing vai Westwing apakšuzņēmējs.

5.4 Kā daļu no Westwing dizaina pakalpojumiem Jūs saņemsiet profesionālu interjera dizaina koncepciju, kas balstīta uz Jūsu sniegto informāciju, kopā ar personīgo iepirkumu sarakstu. Konkrētais pakalpojumu apjoms un attiecīgās izmaksas par atsevišķiem Westwing dizaina pakalpojumiem ir norādīti tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt sadaļā „Dizaina pakalpojumi”.

5.5 Westwing patur tiesības atteikt Westwing dizaina pakalpojumus vai to sniegšanu, ja esat sniedzis nepareizu informāciju par telpām, ja rīkojaties nelikumīgi vai amorāli vai pārkāpjot šos Vispārīgos noteikumus.

5.6 Westwing patur tiesības atcelt pakalpojumu sniegšanas tikšanās laiku līdz 12 stundām pirms tikšanās laika gadījumos, kas ir ārpus Westwing kontroles (piemēram, nepārvarama vara), un informēs jūs par jebkādu atcelšanu iepriekš. Gadījumos, kad tikšanās laiks tiek atcelts, jums tiks piedāvāts jauns tikšanās laiks vai naudas atmaksa, ja jaunu tikšanās laiku nav iespējams noorganizēt. Jūs varat arī bez maksas pārplānot saskaņoto tikšanos līdz 12 stundām pirms tās. Šajā gadījumā Westwing piedāvās Jums alternatīvu tikšanos, ja tāda būs pieejama.

5.7 Pēc tam, kad ir sniegts pēdējais pakalpojums kā daļa no rezervētajiem Westwing dizaina pakalpojumiem, līgumiskās attiecības par šo konkrēto Westwing dizaina pakalpojumu automātiski beidzas. Ja pēc jūsu lūguma ir nepieciešama sniegto Westwing dizaina pakalpojumu pārveidošana vai pārkārtošana, jums ir jārezervē jauns Westwing dizaina pakalpojums caur tīmekļa vietni.

5.8 Autortiesības un citas intelektuālā īpašuma tiesības, kas attiecas uz interjera dizaina koncepcijām un telpu koncepcijām, kuras izstrādājis Westwing un/vai Westwing dizaina pakalpojumu ietvaros, pieder ekskluzīvi Westwing. Westwing piešķir jums vienkāršas, beztermiņa un nepārvedamas tiesības personiskai lietošanai saistībā ar pakalpojumiem, kas sniegti Westwing dizaina pakalpojumu ietvaros. Komerciāla, publiska izmantošana ir atļauta tikai ar Westwing iepriekšēju rakstisku piekrišanu. Westwing ir tiesīgs izmantot Westwing dizaina pakalpojumu rezultātus reklāmas nolūkos (piemēram, kā plānošanas piemērus tīmekļa vietnē) ar jūsu iepriekšēju piekrišanu.

5.9 Jūs esat atbildīgs par to, lai Westwing tiktu sniegta informācija un dokumenti (piem., plāni), kas var būt būtiski pakalpojuma sniegšanai.

6. MAKSĀJUMU NOSACĪJUMI UN MAKSĀJUMI

6.1 Jūs varat samaksāt par precēm un pakalpojumiem – ņemot vērā mūsu kredītspējas pārbaudi – izmantojot šādus maksājumu veidus pēc savas izvēles:

Igaunija: PayPal, kredītkarte (VISA, Mastercard, American Express), GooglePay (pieejams tikai pasūtot caur tīmekļa pārlūku), ApplePay, Trustly, Ivy un priekšapmaksa.

Latvija: PayPal, kredītkarte (VISA, Mastercard, American Express), GooglePay (pieejams tikai pasūtot caur tīmekļa pārlūku), ApplePay, Trustly, Ivy un priekšapmaksa.

Lietuva: PayPal, kredītkarte (VISA, Mastercard, American Express), GooglePay (pieejams tikai pasūtot caur tīmekļa pārlūku), ApplePay, Trustly, Ivy un priekšapmaksa.

6.2 Westwing pieņem dažādas kredītkartes, pašlaik: VISA-Card un American Express. Westwing norakstīs rēķina summu no jūsu kredītkartes pēc pasūtījuma saņemšanas, izmantojot mūsu maksājumu pakalpojumu sniedzēju Stripe Payments Europe Ltd (reģistrēts Īrijas komercreģistrā ar numuru 3206488LH).

6.3 Maksājumu metodes ApplePay un GooglePay tiek apstrādātas ar maksājumu pakalpojumu sniedzēja Stripe Payments Europe Ltd (reģistrēts Īrijas komercreģistrā ar numuru 32064LH) starpniecību.

6.4 Ja tiek izvēlēts PayPal piedāvātais maksājuma veids, maksājums tiek apstrādāts ar maksājumu pakalpojumu sniedzēja PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (reģistrēts Komercreģistrā ar numuru R.C.S. Luxembourg B 118 349) (turpmāk: „PayPal”), ievērojot PayPal lietošanas noteikumus, kas pieejami https://www.paypal.com/ee/webapps/mpp/ua/useragreement-full, https://www.paypal.com/lv/webapps/mpp/ua/useragreement-full vai https://www.paypal.com/lt/webapps/mpp/ua/useragreement-full.

6.5 Maksājumu apstrādei mēs izmantojam maksājumu pakalpojumu sniedzēju „Mollie B.V.”, Keizersgracht 126, 1015 CW Amsterdama, Nīderlande. „Mollie” piedāvā, cita starpā, maksājumu metodes „Trustly” un „Ivy”. Apstrādājot maksājumus, jūsu norādītie maksājuma dati (piemēram, IBAN, vārds un uzvārds, rēķina summa) tiek nosūtīti uzņēmumam „Mollie”. 6.6 Ja izvēlaties bankas pārskaitījumu, pēc pasūtījuma pabeigšanas pa e-pastu saņemsiet rēķinu un Westwing bankas rekvizītus . Rēķina summa jāpārskaita uz Westwing kontu 7 kalendāro dienu laikā no pasūtījuma apstiprinājuma saņemšanas. Preces tiks nosūtītas vai pakalpojums sniegts tikai pēc pilnas maksājuma saņemšanas. Veicot pārskaitījumu, lūdzu, kā maksājuma mērķi norādiet pasūtījuma numuru.

7. RĒĶINI

7.1 Pieņemot Vispārīgos noteikumus, jūs piekrītat, ka Westwing var jums nosūtīt rēķinus elektroniski vai darīt tos pieejamus elektroniski saskaņā ar Padomes Direktīvas 2006/112/EK 232. pantu.

7.2 Lūdzu, ņemiet vērā, ka, ja jūsu nodokļu identifikācijas numurs nav pareizs, veicot pasūtījumu saskaņā ar 2.2. punktu, mēs nevarēsim izrakstīt korekcijas rēķinu, lai labotu jūsu datus, kad pasūtījums jau ir apstiprināts.

7.3 Sniedzot Westwing aktīvu PVN identifikācijas numuru, kas nav Polijas un nav derīgs ES iekšējo darījumu veikšanai (nav derīgs saskaņā ar VIES PVN identifikācijas numurs – Vies on-the-Web - Eiropas Komisija (europa.eu)), ar šo tiek apstiprināts, ka jums nav pienākuma deklarēt preču iegādi Kopienā tajā ES dalībvalstī, uz kuru preces tiek nosūtītas, un ka Westwing tādējādi ir pienākums apstrādāt jūsu pasūtījumu kā B2C klienta pasūtījumu PVN nolūkos saskaņā ar piemērojamiem PVN noteikumiem un attiecīgi izrakstīt rēķinu par piegādi PVN nolūkos.

8. KUPONI

8.1 Westwing piedāvā dažāda veida kuponus: dāvanu kuponus, reklāmas kuponus un kompensācijas kuponus:

8.1.1 Dāvanu kuponi

8.1.1.1 Dāvanu kuponi ir kuponi, kurus varat iegādāties veikalā un kurus var izmantot tikai tajā tīmekļa vietnē, kurā tos esat iegādājies (www.westwing.ee, www.westwing.lv vai www.westwing.lt), ja vien uz kupona nav norādīts citādi. Dāvanu kupons tiks nosūtīts jums pa e-pastu pēc pasūtījuma veikšanas.

8.1.1.2 Dāvanu kartes un to atlikušo summu var izmantot līdz trešā gada beigām pēc dāvanu kartes iegādes gada.

8.1.1.3 Dāvanu kartes var izmantot tikai preču un pakalpojumu iegādei, nevis citu dāvanu karšu iegādei.

8.1.1.4 Ja pasūtījuma cena pārsniedz dāvanu kartes atlikumu, starpību varat segt, izmantojot piedāvātos maksājumu veidus. Ja pasūtījuma cena ir mazāka par dāvanu kartes atlikumu, atlikumu varat izmantot nākamajā pasūtījumā.

8.1.1.5 Līguma atcelšanas gadījumā, neatkarīgi no iemesla, pirkuma cena tiks atmaksāta, debetējot dāvanu kartes kontu, kā arī, ja nepieciešams, izmantojot papildu maksājuma līdzekļus.

8.1.1.6 Dāvanu karti var nodot citai personai.

8.1.1.7 Zaudētie kuponi, jo īpaši nozagti kuponi, netiks atlīdzināti. Westwing neuzņemas atbildību par kodu zaudēšanu.

8.1.2 Reklāmas kuponi (piemēram, „Iesaki draugu kupons”)

8.1.2.1 Reklāmas kuponi ir kuponi, kas tiek izsniegti bez maksas kā daļa no reklāmas kampaņām ar konkrētu derīguma termiņu un kurus Jūs nevarat iegādāties. Reklāmas kuponus var izmantot tikai kuponā norādītajā tīmekļa vietnē (www.westwing.ee, www.westwing.lv,vai www.westwing.lt) norādītajā periodā, bet ne attiecībā uz piegādes vai uzstādīšanas izmaksām. Uz reklāmas kuponiem var attiekties papildu, individuāli nosacījumi. Par tiem jums tiks paziņots tieši saistībā ar kuponu.

8.1.2.2 Kuponus, kurus esat saņēmis kā jauns klients, pamatojoties uz Westwing dalībnieka uzaicinājumu (tā saukto „drauga ieteikuma kuponu“), nevar izmantot, ja jums jau ir konts Westwing, jo šo kuponu var izmantot tikai jauni klienti.

8.1.2.3 Sākotnējās reģistrācijas vai jauno klientu kuponus, kurus saņemat vienreiz par reģistrāciju tīmekļa vietnēs www.westwing.ee, www.westwing.lv vai www.westwing.lt, var izmantot tikai vienu reizi uz vienu uzņēmuma klienta kontu.

8.1.2.4 Vienā pasūtījumā var izmantot tikai vienu akcijas kuponu. Ja pirkuma vērtība ir mazāka par kupona vērtību, akcijas kupona atlikumu nav iespējams atgūt vai ieskaitīt.

8.1.2.5 Reklāmas kupons nav nododams citai personai, nav atgūstams un to nevar izmantot atkārtoti.

8.1.3 Kompensācijas kuponi

8.1.3.1 Kompensācijas kuponi ir kuponi, kurus nevar iegādāties, bet kurus Westwing izsniedz pēc saviem ieskatiem kā kompensāciju, neuzņemoties nekādas juridiskas saistības.

8.1.3.2 Attiecīgi tiek piemēroti noteikumi par reklāmas kuponiem.

8.2 Ja ir pamatotas aizdomas par krāpšanu vai citām nelikumīgām vai pretlikumīgām darbībām saistībā ar kupona iegādi vai izmantošanu, Westwing var bloķēt attiecīgo kupona kodu (arī uz laiku) vai atteikties to izmantot (arī uz laiku). Šādā gadījumā jums ir tiesības atcelt pasūtījumu.

8.3 Kupona summas izmaksa nav iespējama, tāpat kā vērtības pārvedums vai vēlāka ieskaita veikšana par jau veiktiem pirkumiem, t. i., pēc pasūtījuma procesa pabeigšanas.

9. PIEGĀDES UN SŪTĪŠANAS NOSACĪJUMI

9.1 Piegādes tiek veiktas tikai Igaunijā, Latvijā un Lietuvā uz jūsu norādīto piegādes adresi.

9.2 Pamata piegādes termiņi tiek norādīti attiecīgā preces apraksta lapā un vienmēr ir tikai aptuveni, ja vien tie nav skaidri norunāti kā saistoši. Pēc piegādes termiņa beigām bez paskaidrojumiem tiek noteikts papildu piegādes termiņš, kas ir vienāds ar sākotnējo piegādes termiņu, bet ne ilgāks par 14 darba dienām.

9.3 Pasūtītās preces tiek nosūtītas pēc Westwing ieskatiem vai nu kā sūtījums, vai ar ekspeditora starpniecību.

9.4 Westwing ir tiesīgs veikt daļējas piegādes un sniegt daļējus pakalpojumus, ja tas ir pieņemams jums. Tas ir gadījumā, ja daļējā piegāde jums ir izmantojama līguma mērķa ietvaros, tiek nodrošināta likumīgi pasūtīto preču piegāde un jums tādēļ nerodas nozīmīgs papildu darbs vai papildu izmaksas (ja vien jūs nepiekrītat segt šīs izmaksas).

9.5 Westwing neuzņemas nekādu iepirkuma risku, jo īpaši vispārīgas pirkšanas gadījumā. Westwing ir pienākums piegādāt tikai no esošajām preču krājumiem vai no preču, kas pasūtītas no piegādātājiem. Westwing piegādes pienākums neattiecas, ja Westwing netiek piegādātas preces, netiek piegādātas pilnībā vai netiek piegādātas laicīgi, neskatoties uz esošo segšanas darījumu ar attiecīgo piegādātāju, un Westwing par to nav atbildīgs. Westwing nekavējoties informēs Jūs un paziņos jauno paredzamo piegādes termiņu. Ja jaunais piegādes termiņš Jums nav pieņemams vai preces vairs nav pieejamas jaunajā piegādes termiņā vai vispār, Westwing un Jums ir tiesības atkāpties no līguma attiecībā uz konkrētajām precēm; šādā gadījumā mēs nekavējoties atlīdzināsim jebkādu jau samaksāto atlīdzību.

9.6 Westwing nevar tikt saukts pie atbildības par šajā Līgumā paredzēto saistību nepildīšanu vai nepilnīgu pildīšanu, ja un ciktāl tas ir saistīts ar nepārvaramas varas apstākļu iestāšanos, neierobežojot to, ka Westwing darīs visu savā varā esošo, lai mazinātu šāda notikuma sekas.

Nepārvarama vara ietver visus neparedzētus notikumus vai notikumus, kas — pat ja tie bija paredzami — ir ārpus Westwing kontroles un kuru ietekmi uz līguma izpildi Westwing ar saprātīgiem pūliņiem nevarēja novērst. Piegādes un izpildes termiņi ir attiecīgi jāpagarina. Ja nepārvaramas varas apstākļi ilgst ilgāk par 8 nedēļām, Westwing un jums ir tiesības atkāpties no līguma.

9.7 Ja preču piegāde neizdodas iemeslu dēļ, par kuriem esat atbildīgs, Westwing ir tiesīgs Jums iekasēt jaunas piegādes izmaksas, kā arī saprātīgas uzglabāšanas izmaksas no neveiksmīgās piegādes dienas. Atkārtotai piegādei tiek piemērota maksa, pat ja sākotnējā piegāde Jums bija bez maksas. Mēs Jūs informēsim par papildu izmaksām pirms atkārtotās piegādes un veiksim piegādi tikai ar Jūsu piekrišanu. Westwing patur tiesības atkāpties no līguma, ja Jūs 7 dienu laikā nedodat piekrišanu atkārtotai piegādei. Šādā gadījumā Westwing atmaksās Jums jau veiktos maksājumus.

9.8 Pasūtījuma piegāde paredz, ka nav nekādu nesamaksātu parādu.

9.9 Ja piegādes termiņš tiek pagarināts vai ja Westwing tiek atbrīvots no saviem pienākumiem, jūs nevarat izvirzīt nekādas prasības par zaudējumu atlīdzību, ievērojot 10. punkta noteikumus. Klients var atsaukties uz iepriekš minētajiem apstākļiem tikai tad, ja viņš nekavējoties informē Westwing.

10. GARANTIJA, ATBILDĪBA UN TRANSPORTA BOJĀJUMI

10.1 Katra produkta apraksts ir sniegts mūsu tīmekļa vietnes produkta informācijas lapā. Jūsu vienīgā atbildība ir pārliecināties, ka jebkurš iegādātais produkts ir piemērots galīgajam lietojumam, kādam jūs plānojat to izmantot.

10.2 Jums ir pienākums nekavējoties un rūpīgi, t. i., katru preci atsevišķi, pārbaudīt preces uz daudzuma vai kvalitātes defektiem. Par visiem defektiem jums ir jāziņo rakstiski nekavējoties, bet ne vēlāk kā divu nedēļu laikā pēc preču saņemšanas. Par defektiem, kurus šajā termiņā nav iespējams atklāt pat pēc rūpīgas pārbaudes, Westwing ir jāziņo rakstiski tūlīt pēc to atklāšanas.

10.3 Parastās vai nelielas, tehniski neizbēgamas novirzes daudzumā, kvalitātē, krāsā, platumā, svarā, aprīkojumā vai dizainā netiek uzskatītas par defektiem.

10.4 Defektu gadījumā Westwing ir tiesības izvēlēties starp remontu vai nomaiņu. Westwing tiesības atteikties no turpmākas izpildes saskaņā ar likuma prasībām paliek nemainīgas.

10.5 Ja defekta novēršana pēc saprātīga laika perioda nav veiksmīga, jūs pēc saviem ieskatiem varat pieprasīt cenas samazinājumu vai atkāpties no pirkuma līguma. Pēdējais nav iespējams gadījumā, ja kvalitātes novirzes ir tikai nenozīmīgas.

10.6 Garantijas prasības pret Westwing var celt tikai tiešais klients, un tās nav nododamas citām personām. Tās zaudē spēku 12 mēnešus pēc piegādes.

10.7 Neskarot obligātos likuma noteikumus, Westwing atbildība ir ierobežota gadījumiem, kad Westwing ir pieļāvusi rupju nolaidību vai tīšu pārkāpumu.

10.8 Iepriekš minētie atbildības ierobežojumi un izņēmumi saskaņā ar 10.7. punktu neattiecas, ja Westwing ir krāpnieciskā veidā slēpis defektu vai ir uzņēmies garantiju par precēm vai ja atbildību nevar ierobežot vai izslēgt saskaņā ar piemērojamiem tiesību aktiem .

10.9 Prasības par zaudējumu atlīdzību saistībā ar acīmredzamiem piegādāto preču materiāliem defektiem tiek izslēgtas, ja Jūs mums neziņojat par defektu divu nedēļu laikā pēc preču piegādes.

10.10 Līgumiem par lietotu preču piegādi piemēro šādu ierobežojumu: prasību par defektiem noilguma termiņš ir viens gads no preču piegādes brīža.

10.11 Ja preces tiek piegādātas ar acīmredzamiem iepakojuma vai satura bojājumiem, lūdzam jūs nekavējoties iesniegt sūdzību attiecīgajam piegādātājam un sazināties ar Westwing klientu apkalpošanas dienestu (Igaunijā: service@westwing.ee, Lietuvā:service@westwing.lt un Latvijā: service@westwing.lv) vai jūsu Westwing Business kontaktpersonu

11. GARANTIJAS

11.1 Papildu garantija pastāv tikai tad, ja tas ir skaidri norādīts un aprakstīts preces informācijas lapā.

11.2 Zīmējumi, ilustrācijas, izmēri, svars vai citi veiktspējas dati nav uzskatāmi par solījumiem vai garantijām un ir saistoši tikai tad, ja tas ir skaidri norunāts.

11.3 Kvalitātes vienošanās ir prioritāras salīdzinājumā ar citām objektīvām prasībām.

12. ĪPAŠUMA TIESĪBU SAGLABĀŠANA

12.1 Westwing piegādātās preces paliek Westwing īpašumā, līdz ir saņemta pilna samaksa. Jums ir tiesības pārdot preces parastā uzņēmējdarbības gaitā, ja vien jums nav parādu. Īpašuma tiesību ieķīlāšana un nodošana kā nodrošinājums nav atļauta. Pārdošanas gadījumā klients ar šo nodod Westwing kā nodrošinājumu izrietošo prasījumu pret pircēju. Tas pats attiecas uz citām prasībām, kas aizstāj piegādātās preces vai citādi rodas saistībā ar piegādātajām precēm, piemēram, apdrošināšanas prasībām vai prasībām, kas rodas no neatļautas rīcības zaudējuma vai iznīcināšanas gadījumā. Westwing atceļami pilnvaro jūs savā vārdā iekasēt Westwing cedētās prasības. Westwing var atcelt šo tiešā debeta pilnvarojumu tikai likvidācijas gadījumā.

12.2 Ja trešās personas iegūst neatļautu piekļuvi precēm, jums nekavējoties jānorāda uz Westwing īpašumtiesībām un jāinformē Westwing par to, lai Westwing varētu īstenot savas tiesības.

Minhene ir vienīgā jurisdikcijas vieta visiem strīdiem starp Pusēm, kas izriet no šā līguma vai ir saistīti ar to, vai ar atsevišķu pirkuma līgumu, kas noslēgts saskaņā ar šo līgumu.

Below we present our General Terms and Conditions (hereinafter referred to as "GTC"), which we use as a basis for the use of the Westwing online shop on the website www.westwing.ee, www.westwing.lv and www.westwing.lt for use by companies. By placing your order, you recognise the following General Terms and Conditions of Westwing GmbH, Moosacher Str. 88, 80809 Munich (hereinafter referred to as "Westwing").

These GTC apply to entrepreneurs based in Estonia, Latvia and Lithuania who take advantage of the offers on our website. 1.4 Individual agreements made with you in individual cases (including collateral agreements, supplements and amendments) take precedence over these GTC. 2.6 You are prohibited from using the www.westwing.ee, www.westwing.lv or www.westwing.lt websites or its contents for any purpose that is unlawful, improper or prohibited by these GTC. In particular, technical processes may not be disrupted or manipulated. In the event of behaviour or attempts to gain unauthorised advantages to the detriment of Westwing or other customers, Westwing reserves the right to block the corporate customer account and not accept offers.

2.7 Westwing reserves the right to exercise its virtual domiciliary rights at its own discretion and, for example, to issue warnings, refuse orders, restrict the available payment methods, pause or terminate your access to the websites www.westwing.ee, www.westwing.lv or www.westwing.lt or delete content submitted by you if the provisions of these GTC are violated or in the event of abusive behaviour. Any claims for damages by Westwing remain unaffected.

3. CONTRACTUAL PARTNER, LANGUAGE AND CONCLUSION OF CONTRACT

3.1 The contractual partner for the conclusion of contracts on the websites www.westwing.ee, www.westwing.lv or www.westwing.lt is Westwing.

3.2 The websites www.westwing.ee, www.westwing.lv and www.westwing.lt are operated in English and Lithuanian (in Lithuania). Contracts via the website are concluded in English.

3.3 The offer of goods on www.westwing.ee, www.westwing.lv or www.westwing.lt is not a binding contractual offer within the meaning of Section § 145 of the German Civil Code (BGB), but is subject to change and non-binding as an invitation to submit an offer (so-called "invitatio ad offerendum"). 3.6 There is no statutory right of withdrawal for all contracts concluded with you as an entrepreneur within the meaning of § 14 BGB – i.e. in the exercise of your commercial or self-employed professional activity (B2B transactions). The statutory provisions on the right of withdrawal and the associated option to return goods apply exclusively to consumers within the meaning of § 13 BGB. 4. PRICES AND SHIPPING COSTS

4.1 For orders of goods on the website www.westwing.ee, www.westwing.lv and www.westwing.lt, the prices stated on the respective item detail page at the time of your order shall apply. The prices are total prices including statutory VAT and packaging. Shipping costs and, if applicable, costs for an additionally bookable assembly service, if available, are added.

4.2 The product prices of the Products in your virtual shopping cart will always match the current price on the product detail page. This means that the current product price may differ from the price at which you added the product to your virtual shopping cart. When you add a product to your virtual shopping cart, you don't reserve the price displayed at that time. The price of a product can go up or down between the time you add it to your virtual shopping cart and the time you actually buy it.

4.3 The shipping costs are charged separately for each order and are based on the price stated on the product detail page. This depends, among other things, on the size, weight and the respective shipping method. The latter is at the discretion of Westwing.

4.4 In the case of delivery by Westwing, the prices are DDP Incoterms® 2020, including normal packaging, unless otherwise agreed.

4.5 Westwing may grant you discounts and vouchers beyond the reductions shown on the websites www.westwing.ee, www.westwing.lv or www.westwing.lt within the framework of individual agreements in accordance with Clause 1.4. In this case, only one alternative discount or voucher can be redeemed on an order. The discount or voucher selected by the customer and stored in the shopping basket shall apply.

4.6 Via your corporate customer account, you have the option of receiving invoices showing VAT and taking the business customer discount into account directly when ordering. Manual invoice corrections for corporate customer accounts are generally not carried out.

4.7 Westwing is entitled to offset payments against older debts first and will inform you of the type of offsetting that has taken place.

4.8 A payment is only deemed to have been made when Westwing can dispose of the amount.

4.9 If Westwing becomes aware of circumstances that call your creditworthiness into question, if you do not pay due invoices or if insolvency proceedings are applied for, opened or rejected due to lack of assets, Westwing is entitled to declare the entire remaining debt due. In this case, Westwing is also entitled to demand advance payments or the provision of security.

5. WESTWING DESIGN SERVICES

5.1 With Westwing Design Services, Westwing offers personal interior design advice via the websites www.westwing.ee, www.westwing.lv or www.westwing.lt (hereinafter referred to as "Westwing Design Service(s)" or "Service"). These GTC apply to these services unless otherwise specified below.

5.2 The services are provided online via video chat or video conference with screen sharing, in one of the Westwing offline stores (Stores | Westwing) or, in the case of Westwing Design Services Deluxe, partly also on site. You can find the specific Westwing Design Services offered[VL3] in your country on the website.

5.3 The services are provided by Westwing or a subcontractor of Westwing.

5.4 As part of Westwing Design Services, you will receive a professional interior design concept based on the information you provide, along with a personal shopping list. The exact scope of services and the respective costs of the individual Westwing Design Services are listed on the websites www.westwing.ee, www.westwing.lv or www.westwing.lt in the Design Service section.

5.5 Westwing reserves the right to refuse the Westwing Design Services or their performance if you have provided incorrect information regarding the premises, if you act in a manner that is unlawful or immoral or in violation of these GTC.

5.6 Westwing reserves the right to cancel appointments for the provision of services up to 12 hours before the appointment in cases beyond Westwing's control (e.g., force majeure) and will inform you in advance of any cancellation. In cases where an appointment is cancelled, you will be offered a new appointment or a refund if no new appointment can be arranged. You can also reschedule the agreed appointment free of charge up to 12 hours before the appointment. In this case, Westwing will offer you an alternative appointment subject to availability.

5.7 After the last service has been provided as part of the booked Westwing Design Services, the contractual relationship for this specific Westwing Design Service shall automatically end. If, at your request, a redesign or reorganisation of the Westwing Design Services provided is necessary, you must book a new Westwing Design Service via the website.

5.8 The copyright and other intellectual property rights relating to the interior design concepts and room concepts designed by Westwing and/or within the scope of the Westwing Design Services belong exclusively to Westwing. Westwing grants you simple, perpetual and non-transferable rights for personal use in relation to the services provided within the scope of the Westwing Design Services. Commercial, public use is only permitted with the prior written approval of Westwing. Westwing is entitled to use the results of the Westwing Design Services for advertising purposes (e.g. as planning examples on the website) with your prior consent.

5.9 You are responsible for providing Westwing with information and documents (e.g. floor plans) that may be relevant for the provision of the service.

6. TERMS OF PAYMENT AND PAYMENT

6.1 You can pay for the goods and services - subject to our credit check - using the following payment methods of your choice:

Estonia: PayPal, credit card (VISA, Mastercard, American Express), GooglePay (only available when ordering via a web browser), ApplePay, Trustly, Ivy and prepayment.

Latvia: PayPal, credit card (VISA, Mastercard, American Express), GooglePay (only available when ordering via a web browser), ApplePay, Trustly, Ivy and prepayment.

Lithuania: PayPal, credit card (VISA, Mastercard, American Express), GooglePay (only available when ordering via a web browser), ApplePay, Trustly, Ivy and prepayment.

6.2 Westwing accepts various credit cards, currently: VISA-Card and American Express. Westwing will debit the invoice amount from your credit card after receipt of the order via our payment service provider Stripe Payments Europe Ltd (registered in the Irish commercial register under number 3206488LH).

6.3 The payment methods ApplePay and GooglePay are processed via the payment service provider Stripe Payments Europe Ltd (registered in the Irish commercial register under number 32064LH).

6.4 If a payment method offered by PayPal is selected, payment is processed via the payment service provider PayPal (Europe) S.à r.l. et Cie, S.C.A., 22-24 Boulevard Royal, L-2449 Luxembourg (registered in the Commercial Register under R.C.S. Luxembourg B 118 349) (hereinafter: "PayPal"), subject to the PayPal Terms of Use, available at https://www.paypal.com/ee/webapps/mpp/ua/useragreement-full, https://www.paypal.com/lv/webapps/mpp/ua/useragreement-full or https://www.paypal.com/lt/webapps/mpp/ua/useragreement-full.

6.5 We use the payment service provider Mollie B.V., Keizersgracht 126, 1015 CW Amsterdam, Netherlands, to process payments. Mollie offers, among other things, the Trustly and Ivy payment method. When processing payments, the payment details you provide (e.g. IBAN, name, invoice amount) are passed on to Mollie. 6.6 If you choose bank deposit, you will receive an invoice and Westwing's bank details by email after completing your order. The invoice amount must be transferred to Westwing's account within 7 calendar days of receiving the order confirmation. The goods will only be shipped or the service provided once payment has been received in full. When making the transfer, please quote the order number as the reason for payment.

7. INVOICING

7.1 By accepting the GTC, you accept that Westwing may send you invoices by electronic means or make invoices available to you by electronic means in accordance with Article 232 of Council Directive 2006/112/EC.

7.2 Please note that if your tax identification number is not correct when you place your order in accordance with clause 2.2, we will not be able to issue a corrective invoice to correct your details once your order has been finalised.

7.3 By providing Westwing with an active VAT identification number that is not Polish and is not valid for the purpose of intra-EU transactions (not valid according toVIES VAT identification number - Vies on-the-Web - European Commission (europa.eu)), it is hereby confirmed that you are not obliged to declare the intra-Community acquisition of goods in the EU Member State to which the goods are dispatched and that Westwing is therefore only obliged to process your order as a B2C customer order for VAT purposes in accordance with the applicable VAT regulations and to invoice the delivery accordingly for VAT purposes.

8. COUPONS

8.1 Westwing offers various types of vouchers: Gift Vouchers, Promotional Vouchers and Compensation Vouchers:

8.1.1 Gift vouchers

8.1.1.1 Gift vouchers are vouchers that you can purchase in the shop and can only be redeemed at the website you have purchased it from (www.westwing.ee, www.westwing.lv or www.westwing.lt), unless otherwise stated on the voucher. The gift voucher will be sent to you by e-mail after your order.

8.1.1.2 Gift vouchers and remaining balances of gift vouchers are redeemable until the end of the third year after the year of purchase of the gift vouchers.

8.1.1.3 Gift vouchers can only be used for the purchase of goods and services and not for the purchase of other gift vouchers.

8.1.1.4 If the price of your order is higher than the balance of a gift voucher, you can make up the difference using the payment methods offered. If the price of your order is less than the balance of a gift voucher, you can redeem the remaining balance with your next order.

8.1.1.5 In the event of cancellation of a contract, for whatever reason, the purchase price will be refunded by debiting the voucher account as well as the means of payment used in addition, if any.

8.1.1.6 The gift voucher is transferable.

8.1.1.7 Lost vouchers, especially stolen vouchers, will not be refunded. Westwing assumes no responsibility for the loss of codes.

8.1.2 Promotional vouchers (e.g. "Refer-a-friend voucher")

8.1.2.1 Promotional vouchers are vouchers that are issued free of charge as part of advertising campaigns with a specific period of validity and cannot be purchased by you. Promotional vouchers can only be redeemed at the website specified on the voucher (www.westwing.ee, www.westwing.lv or www.westwing.lt) during the specified period, but not for shipping or set-up costs. Promotional vouchers may be subject to further, individual conditions. These will be communicated to you in direct connection with the voucher.

8.1.2.2 Vouchers that you have received as a new customer on the basis of an invitation from a Westwing member (so-called "refer-a-friend voucher") cannot be redeemed if you already have an account with Westwing, as the voucher can only be redeemed by new customers.

8.1.2.3 Initial registration or new customer vouchers, which you receive once for registering on the websites www.westwing.ee, www.westwing.lv or www.westwing.lt, may only be redeemed once per company customer account.

8.1.2.4 Only one promotional voucher can be redeemed per order. It is not possible to refund or credit the remaining balance of a promotional voucher if the value of the purchase is less than the value of the voucher.

8.1.2.5 The promotional voucher is non-transferable, non-refundable and cannot be redeemed again.

8.1.3 Compensation vouchers

8.1.3.1 Compensation vouchers are vouchers that cannot be purchased but are issued by Westwing at its own discretion as compensation without recognising any legal obligation.

8.1.3.2 The regulations for promotional vouchers shall apply accordingly.

8.2 In the event of justified suspicion of fraud or other illegal or unlawful activities in connection with the purchase or redemption of a voucher, Westwing may block the corresponding voucher code (also temporarily) or refuse redemption (also temporarily). In this case, you have the right to cancel the order.

8.3 Payment of the voucher amount is not possible, nor is a transfer for value or subsequent offsetting for purchases already made, i.e. after completion of the order process.

9. DELIVERY AND SHIPPING CONDITIONS

9.1 Deliveries are only made within Estonia, Latvia, Lithuania to the delivery address provided by you.

9.2 The basic delivery times are communicated to you on the respective article detail page and are always only approximate, unless they are expressly agreed as binding. After expiry of the delivery period, a subsequent delivery period of the duration of the delivery period, but no longer than 14 working days, shall be set in motion without explanation.

9.3 Ordered goods will be dispatched at Westwing's discretion either as a parcel or by a forwarding agent.

9.4 Westwing is entitled to make partial deliveries and render partial services if this is reasonable for you. This is the case if the partial delivery is usable for you within the scope of the contractual purpose, the delivery of the legally ordered goods is ensured and you do not incur any significant additional work or additional costs as a result (unless you agree to bear these costs).

9.5 Westwing does not assume any procurement risk, especially not in the case of a generic purchase. Westwing is only obliged to deliver from the existing stock of goods or from the goods ordered from the suppliers. Westwing's obligation to deliver does not apply if Westwing is not supplied, not supplied in full or not supplied on time despite an existing covering transaction with the respective supplier and is not responsible for this. Westwing will inform you immediately and inform you of the new expected delivery period. If the new delivery period is not acceptable to you or the goods are no longer available within the new delivery period or at all, Westwing and you are entitled to withdraw from the contract with regard to the goods in question; in this case, we will immediately reimburse any consideration already paid.

9.6 Westwing cannot be held liable for the non-performance or defective performance of its obligations under this Agreement if and to the extent that this is due to the occurrence of force majeure, without prejudice to the fact that Westwing will do everything in its power to minimise the consequences of such an event.

Force majeure includes all unforeseen events or events that - even if they were foreseeable - are beyond Westwing's control and whose effects on the fulfilment of the contract could not have been prevented by reasonable efforts by Westwing. This includes, but is not limited to, war, warlike condition, riot, rebellion, military or civilian coup, insurrection, civil commotion, riot, embargo, government order, fire, flood, storm surge, hurricane or other severe weather of catastrophic proportions, earthquake, lightning, pandemic, epidemic, nuclear hazard or any similar cause beyond Westwing's control which makes it illegal, impossible or economically impracticable to fulfil or comply with the obligations set out in these GTC. If a case of force majeure occurs, Westwing is obliged to inform you immediately. Westwing is released from its obligation to perform for the duration of the event. Delivery and performance deadlines are to be extended appropriately. If the force majeure lasts longer than 8 weeks, Westwing and you are entitled to withdraw from the contract.

9.7 If the delivery of the goods fails for reasons for which you are responsible, Westwing is entitled to charge you the costs of a new delivery as well as reasonable storage costs from the day of the unsuccessful delivery. The re-delivery is subject to a charge even if the initial delivery was free of charge for you. We will inform you of the additional costs before the new delivery and will only carry out the delivery with your consent. Westwing reserves the right to withdraw from the contract if you do not give your consent to a new delivery within 7 days. In this case, any payments already made by you will be refunded by Westwing.

9.8 The delivery of an order presupposes that there are no outstanding debts.

9.9 If the delivery time is extended or if Westwing is released from its obligation, you cannot derive any claims for damages from this, subject to the provisions in Section 10. The customer can only invoke the aforementioned circumstances if he informs Westwing immediately.

10. WARRANTY, LIABILITY AND TRANSPORT DAMAGE

10.1 The description of each Product shall be as set out in the product detail page of our website. It is your sole responsibility to confirm that any product being purchased is sufficient for the end use to which you intend to place that Product.

10.2 You are obliged to inspect the goods immediately and carefully, i.e. individually, for defects in quantity or quality. You must report all defects in writing immediately, but at the latest within two weeks of receipt of the products. Defects that cannot be discovered within this period, even after careful inspection, must be reported to Westwing in writing immediately after discovery.

10.3 Customary or minor, technically unavoidable deviations in quantity, quality, colour, width, weight, equipment or design shall not be deemed defects.

10.4 In the event of defects, Westwing has the right to choose between repair or replacement. Westwing's right to refuse subsequent fulfilment under the legal requirements remains unaffected.

10.5 If the rectification fails after a reasonable period of time, you may, at your discretion, demand a reduction in price or withdraw from the purchase contract. The latter is excluded in the case of only insignificant deviations from the quality.

10.6 Warranty claims against Westwing are only available to the direct customer and are not transferable. They expire 12 months after delivery.

10.7 Without prejudice to mandatory statutory provisions, Westwing's liability is limited to cases of gross negligence or wilful misconduct on the part of Westwing.

10.8 The aforementioned limitations and exclusions of liability according to clause 10.7 do not apply if Westwing has fraudulently concealed the defect or has assumed a guarantee for the goods or where the liability cannot be limited or excluded under the applicable law.

10.9 Claims for damages due to obvious material defects of the delivered goods are excluded if you do not notify us of the defect within a period of two weeks after delivery of the goods.

10.10 The following restriction applies to contracts for the delivery of used goods: The limitation period for claims for defects is one year from delivery of the goods.

10.11 If the goods are delivered with obvious damage to the packaging or contents, we ask you to complain immediately to the deliverer concerned and to contact Westwing Customer Service (for Estonia: service@westwing.ee, for Lithuania: service@westwing.lt and for Latvia: service@westwing.lv) or your Westwing Business contact person

11. GUARANTEES

11.1 An additional guarantee only exists if this is explicitly shown and described on the product detail page.

11.2 Drawings, illustrations, dimensions, weights or other performance data do not constitute promises or guarantees and are only binding if this is expressly agreed.

11.3 Quality agreements take precedence over other objective requirements.

12. RESERVATION OF TITLE

12.1 The goods delivered by Westwing remain the property of Westwing until full payment has been received. You are entitled to sell the goods in the ordinary course of business as long as you are not in default. Pledging and transfer by way of security are not permitted. In the event of resale, the customer hereby assigns the resulting claim against the purchaser to Westwing by way of security. The same applies to other claims that take the place of the delivered goods or otherwise arise with regard to the delivered goods, such as insurance claims or claims arising from unauthorised action in the event of loss or destruction. Westwing revocably authorises you to collect the claims assigned to Westwing in your own name. Westwing may only revoke this direct debit authorisation in the event of liquidation.

12.2 If third parties gain unauthorised access to the goods, you will immediately point out Westwing's ownership and inform Westwing of this in order to enable Westwing to enforce its rights.

18. AMENDMENTS TO THE GTC

Westwing reserves the right to make changes to the Website, rules, terms and conditions, including these GTC, at any time. The terms and conditions in force at the time of your order will apply to your order, unless a change to these terms and conditions is required by law or governmental order (in which case they will also apply to orders you have previously placed).

19. FINAL PROVISIONS

19.1 For legal disputes arising from or in connection with these GTCs or the use of www.westwing.ee, www.westwing.lv or www.westwing.lt, the law of the Federal Republic of Germany shall apply exclusively, excluding the UN Convention on Contracts for the International Sale of Goods. Munich shall be the exclusive place of jurisdiction for all disputes between the Parties arising from or in connection with this agreement or an individual purchase contract concluded under this agreement.

19.2 Should a provision be or become void or ineffective, the remaining provisions shall remain valid. The relevant statutory provisions shall apply in place of the void or ineffective provisions
